Introduction

These terms and conditions (hereinafter “INDITEX Talent Terms of Service”), along with the Cookies Policy, regulate the access to and use of the “INDITEX Talent” website and all web pages found under the domain INDITEXtalent.com and its corresponding subdomains and subdirectories (hereinafter the “Website” or “INDITEX Talent”).

This Website is operated by INDUSTRIA DE DISEÑO TEXTIL, S.A. (INDITEX, S.A.), a Spanish company with its registered office at Avda. de la Diputación, Edificio Inditex, 15143 Arteixo (A Coruña), tax identification number A-15075062, and registered with the Company Register of A Coruña under Volume 964, General Section, Folio 17, Page C3342, 1st Entry (hereinafter “INDITEX”). INDITEX is the parent company of a group of enterprises (hereinafter the “INDITEX Group”).

The main purpose of this Website is to provide information regarding possible scholarship programmes, job placement and recruitment for INDITEX and/or other brands belonging to the Inditex Group, as well as facilitating registration in processes related to the abovementioned programmes which are most suited to the profile in question.

By visiting or using this web page, you accept the INDITEX Talent Terms of Service. If you do not agree with the entirety of the terms and conditions contained herein, please do not use the Website.

The latest version of the INDITEX Talent Terms of Service can be found on this Website whenever so desired. Should a user decide not to accept the INDITEX Talent Terms of Service, he or she should refrain from accessing the Website and/or using the content and/or services provided thereon.

Purpose of the INDITEX Talent Terms of Service

The purpose of the INDITEX Talent Terms of Service is to regulate the access to and use of the Website, as well as any relationship which may arise between users and INDITEX resulting from the use of the Website.

For the purposes of the INDITEX Talent Terms of Service, the Website shall be understood to be: (a) the external appearance (or “look and feel”) of the user interfaces, including both its static and dynamic elements (in other words, the navigation tree), (b) the elements included in the user interfaces and navigation tree, including, but not limited to, all text, images, sounds, databases, multimedia products, interpretations, artistic renderings, fixed images, photographs, radio broadcast signals, and, in general terms, any and all creations and objects expressed through any media or format that are currently used or that may be invented in the future, regardless of whether or not they are protected by the intellectual or industrial property laws currently in force or by any similar legal system (hereinafter the “Content”), as well as any and all online services and resources which may be offered to users (hereinafter the “Services”).

While INDITEX reserves the right to modify the INDITEX Talent Terms of Service, any changes introduced shall not be retroactive unless the specific circumstances concerning said changes so require. If you do not agree with the changes introduced, we suggest you refrain from using our Website. Users expressly acknowledge and accept that INDITEX may, at any time, suspend, deactivate and/or terminate any of the Content and/or Services incorporated into the Website or webpage in question. Furthermore, users acknowledge and accept that this Website may be considered either permanent or temporary and, therefore, be removed, suspended or resumed at any time (and, once again, may be either permanent or temporary) without the need for any manner of prior notification.

Specific Terms and Conditions

The access to and use of certain Content and/or Services may be subject to their own specific terms and conditions, legal notices, directives, and rules of use. Once users have been notified of said specific terms and conditions, these shall, depending on the case, substitute, complement and/or modify the INDITEX Talent Terms of Service established herein (hereinafter the “Specific Terms and Conditions”). Access to and use of the aforementioned Content and/or Services shall therefore imply full compliance with the Specific Terms and Conditions of Service, as established in the published version in force when users access said content and/or service, to which they are subject. These Specific Terms and Conditions shall be automatically incorporated into the INDITEX Talent Terms of Service.

In the event a contradiction were to arise between the terms and conditions established in the INDITEX Talent Terms of Service and the Specific Terms and Conditions, the terms set forth in the latter with regards to the incompatible terms and only those concerning the Content and/or Services subject to said specific regulation, shall, in all instances, prevail.

Access to Content and Services

In order to access the Website, users must: (i) have an active internet connection; (ii) pay the corresponding access and connection fees; and (iii) have the computer equipment and systems needed to connect to the Internet.

In order to properly use, view and implement certain Content and Services found on the Website, it may be necessary to download and install specific computer programmes or other logical elements. Said installation shall be the sole responsibility of the user and INDITEX shall not be held liable for costs or incidents which may arise from the same.

The user undertakes to refrain from accessing the Content and/or Services contained on the Website by any means other than the user interface provided by INDITEX for expressly this purpose.

Due to the open nature of this Website and the possibility that errors in storing and transmitting digital data may occur, INDITEX does not guarantee the accuracy and security of the information transmitted by or obtained from this Website, unless otherwise expressly stated therein.

Rules of Use for the Website

The user undertakes to use the Website and the Content and/or Services contained therein in a diligent and proper manner. Likewise, the user undertakes to refrain from using the Website: (a) to carry out illegal and immoral activities or those which go against generally accepted good conduct or the established public order; and (b) for purposes or actions which are considered to be illegal, prohibited or damaging to the rights of third parties. INDITEX shall not be held liable in any way for situations or damages which may arise from the foregoing.

The user acknowledges and undertakes to use the Website and the Content and/or Services contained therein solely for the purposes for which it was created. The user is hereby expressly forbidden from authorising third parties to, either wholly or partially, use the Website or integrate the Content and/or Services as or into their own business activities.

The use or application of any technical, logical, or technological resources by which the users may, directly or indirectly, benefit from the unauthorised use of the Content and/or Services contained on the Website is expressly forbidden.

The user undertakes not to damage, disable, overload, or deteriorate the computer or telecommunications systems of INDITEX or any third party or the content incorporated and/or stored therein.

The user shall refrain from using the Contents and Services in any way which may damage, disable, overload, or deteriorate the Website or impede the use and enjoyment of the same by other users.

The user undertakes not to modify INDITEX’s equipment and systems in any way, nor use modified versions of equipment and systems for the purposes of gaining unauthorised access to any Content and/or Service contained on the Website.

The user undertakes not to interfere with or interrupt access to and use of the Website, servers or networks connected thereto.

The user shall not improperly use this Website by intentionally infecting it with viruses, trojans, worms, logic bombs or any other type of technologically damaging programmes or materials. The user shall not attempt to gain unauthorised access to the Website, the server upon which it is hosted, or any other server, computer or database related with our Website. The user undertakes not to attack the Website by means of a denial-of-service attack or a distributed denial-of-service attack. Failure to comply with this clause could lead to the commission of infractions classified as crimes by the applicable laws. INDITEX shall inform the competent authorities of any infraction of said laws and fully cooperate with any investigation into the identity of any attacker. Furthermore, the authorisation to use this Website for any user who fails to comply with this clause shall be immediately revoked.

INDITEX shall not be held liable for any damages or losses resulting from a denial-of-service attack, virus or any other technologically damaging programmes or materials that could affect the user’s computer, computer equipment, data, or other material as a result of using this Website or downloading content from said Website or any other website to which it may redirect users.

Website Content and Services

Information Concerning INDITEX Talent

The user acknowledges and accepts that any information regarding INDITEX Talent or the companies belonging to the INDITEX Group made available on the Website are provided merely for informative purposes and are in no way legally binding for INDITEX. The information provided by INDITEX has been obtained from reliable sources, and, although reasonable measures have been taken to ensure it is accurate and correct, INDITEX does not claim or guarantee said information is exact, complete, or up to date, and it should not be trusted to be so.

Information Provided by Third Parties

The Website may include information or content provided by sources other than INDITEX. INDITEX does not guarantee, nor shall it be held liable for the certainty, reliability, or accuracy of said information and/or content.

The user acknowledges and accepts that INDITEX may retain and disclose the information it stores or make said information available to third parties when: (i) required to do so by the competent authorities and agencies; (ii) it is necessary to enforce the INDITEX Talent Terms of Service; (iii) it is appropriate or necessary in order to respond to claims concerning violations or infringements of rights; or (iv) it is appropriate or necessary in order to protect the legitimate interests of INDITEX, its users and the general public.

External Content and Services

The Website may make technical devices such as links, directories, and search engines available to the user by which they may access websites belonging to and/or managed by third parties.

The sole purpose of incorporating the aforementioned links, directories and search engines into the Website is to provide users with the ability to search and access information, content and services found on the Internet which, in some cases, may complement or be related to the services regulated herein. Certain links are provided solely for informational purposes and INDITEX Talent does not have any control over the content included on said webpages or in said materials. Therefore, INDITEX shall not be held liable for any damages or losses resulting from their use.

The inclusion of a link does not necessarily imply that a relationship exists between INDITEX and the owner of the website to which said link redirects, nor does it imply INDITEX’s acceptance or approval of its content or services.

Unless expressly stated otherwise, INDITEX does not offer or commercialise the information, content and/or services available on linked sites itself or by means of third parties. Likewise, INDITEX does not control, approve, or monitor any of said information, content and/or services, nor does it make them its own. The user must, therefore, use extreme caution when evaluating and using the information, content and services found on linked sites.

Due to the fact that INDITEX does not have any control whatsoever of linked sites which are included on the Website, the user acknowledges and accepts that INDITEX shall not be held liable for the content or services they may access on said websites, nor for any product sold on them.

Guarantees and Liability

Unless the contrary is expressly established by law or stated otherwise, the user expressly acknowledges and accepts that INDITEX does not offer any guarantee, whether express or implicit, regarding the Website or the Content and Services contained therein, including, but not limited to: (a) the availability and continued operation of the Website and, more specifically although not exclusively, that the users may successfully use the Website, the Content and the Services or access the various webpages which comprise the Website or those from which the Services are provided; (b) the levels of quality, interoperability and functionality of the Website, as well as of the Content and/or Services included therein; (c) the interruption, suspension or cancellation of access to the Website and the Content and Services contained therein; (d) the suitability for a specific purpose of the Website and the Content or Services contained therein; (e) the certainty, reliability, accuracy and/or updating of the Content, Services, products, texts, graphics, links or any other element incorporated into the Website, as well as the results which may be obtained from the access and/or use of the Website or its Content; (f) INDITEX hereby expressly states that it shall not be held liable for any error or omission of the information included on the Website, as well as for any lack of truthfulness, accuracy, completeness, relevance and/or timeliness of its Content; (g) any unauthorised access to and alteration of the data stored on and transmitted by the Website or the Services it offers; (h) the absence of viruses or other elements in the Contents which may produce modifications to the computer system (software and hardware) or in the electronic documents and files stored on the computer system.

The user acknowledges and accepts that the use of the Website, Services and Content occurs, in all cases, at his or her own risk. Therefore, the user shall take any and all measures necessary to minimize said risks, including any security measures needed to ensure anti-virus and data recovery procedures. Thus, unless the contrary is expressly dictated by law, and solely to the extent that is it so imposed, INDITEX does not guarantee, nor shall it be held liable in any way for the access and use of the Website or the Content and/or Services included therein.

Force Majeure

Notwithstanding the foregoing, INDITEX shall not be held liable for any delays or failures which may occur with regards to the access, functioning and operability of the Website, its Contents and/or Services, nor for any interruptions, suspensions, or the improper functioning of the same, due to events of force majeure or any other fortuitous cause.

INDITEX shall not be held liable for the failure to carry out, or delay in carrying out, any action due to any event which can be considered to be reasonably beyond its control. (“Force Majeure Event”).

Force Majeure Events shall include any act, event, failure to exercise, omission, or accident which is beyond our reasonable control, including, but not limited to:

  1. Strikes, lockouts, or other industrial actions.

  2. Civil commotion, riots, invasions, terrorist threats or attacks, war (whether declared or undeclared) or the threat of or preparations for war.

  3. Fires, explosions, storms, floods, earthquakes, subsidence, epidemics, or any other natural disaster.

  4. The impossibility of using trains, ships, airplanes, motor transport or other means of public or private transport.

  5. The impossibility of using public or private telecommunication systems.

  6. Acts, decrees, legislation, regulation or restrictions by any government or public authority.

It shall be understood that the aforementioned actions shall be suspended during the period in which the Force Majeure Event continues. INDITEX shall be granted an extension in the deadline for complying with the same equal to the amount of time the Force Majeure Event lasts. INDITEX shall make all reasonable efforts to bring the Force Majeure Event to an end or to find a solution that will allow it to comply with its obligations despite the Force Majeure Event.

Intellectual Property, Industrial Property and Other Rights.

Applicable Legislation

The Website, its Contents, Services, and the elements of which it is comprised are the property of, under the control of or have been licensed by INDITEX, and are protected, without limitation, by the intellectual and industrial property laws of the Kingdom of Spain and all applicable international Treaties and Conventions.

INDITEX Proprietary Rights

INDITEX, or the third party who has licensed/authorised its use, is the sole holder of all intellectual, industrial and any other similar property rights applicable to the Website. Likewise, INDITEX, any of the companies which comprise the INDITEX Group, or any third party which has licensed/authorised its use, reserve all rights associated with the Content, Services, or elements they own which are included on the Website, including, but not limited to:

  • All elements that form the visual appearance, graphics and other sensory stimuli of the webpages that comprise the Website;

  • The navigation architecture;

  • The webpages’ source code;

  • Photographs;

  • Recordings;

  • Computer programmes;

  • Databases;

  • Technology;

  • Logos and

  • Distinguishing features. All the above-mentioned elements shall hereinafter be collective referred to as the “Property”.

Third-Party Property

The user acknowledges and accepts that the Website may include accessible Content and Services which are the property of INDITEX or third parties. Said property is protected by the current intellectual and industrial property legislation, as well as that regarding the rights pertaining to the exploitation of the commercial and advertising value of images and any other similar rights which may be applicable.

Proprietary Rights Notice and Rights Protection Measures

The user undertakes not to withdraw, remove, alter, manipulate, or modify in any way:

  • Any notes, legends, indications, or symbols which INDITEX or the legitimate holder of the rights incorporate into their property with regards to intellectual and industrial property (such as copyright, ©, ®, ™, etc.).

  • The technical data protection or identification measures which the Content may contain (such as watermarks, digital fingerprints, etc.).

Property Licenses

The user acknowledges that, pursuant to the INDITEX Talent Terms of Service, INDITEX does not assign or transfer to the user any rights whatsoever related to its Property or that of third parties. INDITEX only authorises access to and use of said Property in accordance with the terms and conditions established in the INDITEX Talent Terms of Service.

INDITEX authorises users to access and browse the Website, using the Services and viewing the Content included therein.

Users are not authorised to copy, distribute, transmit, communicate, alter, transform, assign or in any other way engage in activities that involve a commercial use of the Website, its pages, Content or the elements of which it is comprised, either partially or in their entirety, without having obtained the express prior consent in writing of the legitimate holder of the exploitation rights.

Access to, the viewing of and downloading the Content and/or Services shall be for, in all cases, solely personal purposes and under no circumstances for commercial purposes.

INDITEX reserves all rights associated with the Property and cannot, therefore, grant any use license or authorisation for said Property to the user other than that which is expressly stated in this clause.

Link Licenses

Any user and, in general terms, any individual intending to establish a link from their websites and the Website must comply with the terms and conditions detailed below. Any other proposed link other than that which is established in this clause requires obtaining the express prior consent in writing from INDITEX.

The user may not reproduce or imitate, whether partially or in its entirety, the Content of the Website or its graphic appearance (“look and feel”). Likewise, the user may not produce frames (“frames”) or use embedded links of the Website’s pages.

The user shall not create a browser, frame, environment, or navigation bar on the Website’s pages.

No false, inaccurate, incorrect, or denigrating statements regarding the Website, INDITEX or any of INDITEX’s Property may be made. More specifically, it shall not be stated or implied that INDITEX collaborates, is a collaborating partner, and/or has supervised or taken responsibility in any way of the content or services made available on the website to which the link redirects users.

The website to which the link redirects users shall not contain any trademark, brand name, shop sign, designation, logo, slogan, or any other distinctive feature belonging to INDITEX except for those features which are part of the link itself or other Property for which licenses have been previously granted in writing by INDITEX.

The website to which the link redirects users shall not contain illegal information or content or that is considered to be immoral or goes against generally accepted good conduct or the public order. Likewise, it shall not contain products or services that infringe on any third-party rights.

Termination of Licenses

INDITEX reserves the right to terminate or modify the licenses granted by virtue of the INDITEX Talent Terms of Service at any time and for any reason. Notwithstanding the foregoing, INDITEX may take legal action against any user for any use which:

  • Does not comply with the terms and conditions established herein;

  • Infringes or violates the intellectual, industrial or any similar property rights belonging to INDITEX or any other third-party legitimate holder; or

  • Infringes any applicable regulations.

The user shall be obliged to immediately modify or remove any Property of INDITEX or remove any link to the WEBSITE from their website when requested to do so by INDITEX.

Third-Party Assignment

The user shall not assign, transfer, encumber or subrogate the rights and obligations established in the INDITEX Talent Terms of Service in favour of any third party.

INDITEX may assign, transfer, encumber, or subrogate the rights and obligations established in the INDITEX Talent Terms of Service in favour of any third party either partially or in their entirety.

Partial Invalidity

In the event that any of the clauses established in the INDITEX Talent Terms of Service were to be declared null and void by a final resolution issued by a competent authority, the remaining terms and conditions shall remain in force and unaffected by said declaration of invalidity.

Waiving of Rights

INDITEX’s failure to exercise any of the rights or remedies to which it may be entitled by virtue of the INDITEX Talent Terms of Service shall not constitute a waiver or limitation of any such rights or remedies, nor shall it relieve users from the need to comply with any such obligations.

No waiver by INDITEX of any specific right or remedy shall constitute a waiver of other rights or remedies derived from the INDITEX Talent Terms of Service. No waiver by INDITEX of a part of the INDITEX Talent Terms of Service shall be effective unless it is expressly stated that said action is indeed a waiver and is formalised. The user must be notified of said waiver in accordance with the stipulations established in the Notifications clause.

Applicable Law and Jurisdiction

Any and all issues which may arise concerning the access to and/or use of the Website shall be subject to and interpreted in accordance with Spanish law.

In the event that the user resides outside of Spain, both INDITEX and the user shall submit to the non-exclusive jurisdiction of the competent Courts and Tribunals of the Kingdom of Spain.

Notifications

Unless expressly stated otherwise, all notifications, summons, agreements, consents, acceptances, approvals, and communications required in accordance with the stipulations established in the INDITEX Talent Terms of Service or which are in any way related to the same, shall be made in writing and sent to the following email address: comunicacion@inditex.com.
